CLOUD MINING AGREEMENT

This mining contract ("Contract") is entered into by and between tsdefi.com ("Company"), operated by TERAWIX Corporation, and the member ("Investor") who purchases hash rate(C/S), to establish the basic terms and procedures for the use of the Company's cloud mining service for Aleo Credits (Aleo) ("virtual assets").

01. RECITALS
The Company is a corporation existing under the laws of the British Virgin Islands and owns and operates a mining pool at the website address www.tsdefi.com. Cloud mining service refers to a service contract in which the investor rents hash rate(C/S) from the Company for a certain period of time to indirectly mine "virtual assets".

02. Acceptance of Terms and Conditions
The Member acknowledges that they are a qualified investor and accepts the terms and conditions of this agreement upon payment of the mining hash rate(C/S) fee ("Fee").

03. Mining Plan
Ownership of mining equipment is held by the company, and members have ownership of hash rate(C/S) and receive compensation in Aleo Credit (Aleo) cryptocurrency from the company during the contract period. Members' hash rate(C/S) is allocated to a mining pool combined with other members.

04. Commencement of Mining
After the purchase of hash rate(C/S) is completed, Aleo Credit (Aleo) mined 7 days later will be distributed during the contract period. This does not apply during the testnet period conducted by the Aleo Foundation, and will be implemented after the mainnet launch.

05. Allocation of Aleo Credit (Aleo)
Investors will receive 60% to 80% of Aleo Credit (Aleo) distributed by the company according to their purchased hash rate(C/S) capacity. Distribution for the amount mined during the testnet period conducted by the Aleo Foundation will follow the policies of the Aleo Foundation.

06. Contract Term
After the mining distribution starts, it will be maintained and operated for 360 to 540 days as specified in the contract. When the contract period ends, the contract will be automatically terminated. During the testnet period conducted by the Aleo Foundation, the contract period will not be deducted.

07. Changes to Terms and Conditions
Mining hash rate(C/S) prices and mining distribution policies may be subject to change depending on the situation. The company may request additional user information to comply with KYC and AML regulations.

08. Conversion of TRX Payments
The Company reserves the right to transfer Member's TRX payments into USD or other cryptocurrencies to preserve the value of funds.

09. Member Responsibility
Investors are responsible for managing their digital asset receiving addresses, and the company is not responsible for any damage to digital assets due to investor mismanagement. The company does not guarantee the ROI period or specified income.

10. Disclaimer of Financial Guarantees
The company must perform its duties professionally and as diligently as possible, but it does not provide financial guarantees to investors. As a service provided by a third party, all associated risks must be understood and grasped by the members.

11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration administered by the International Chamber of Commerce (ICC) in accordance with its rules. The place of arbitration shall be in the British Virgin Islands.

12. Entire Agreement
This Agreement constitutes the entire agreement between the Parties, and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

13. Deferred Deployment:
There may be delays in the supply of mining components or situations where electricity cannot be immediately supplied to the mining equipment, which may delay the deployment of the mining equipment.

14. Pool Equipment Possession and Maintenance
Member agrees that the Company shall retain sole possession and control of, directly or indirectly, and shall maintain, all digital asset mining equipment in the mining pool.

15. Tax Obligations
Investors are responsible for complying with all tax obligations related to the allocated pool earnings according to the laws and regulations of their tax residence country.

16. Member's Obligations
Members shall not violate any plan for the mining pool or interfere with the mining pool's interests.
